GOESRED INC
Terms of service
These Terms of Service (“Terms”) constitute a legally binding agreement between GOESRED INC (“GoesRed,” “Red,” “we,” “us,” or “our”) and the business entity, accounting firm, or sole proprietorship on whose behalf the service is accessed or purchased (“Customer,” “you,” or “your”). GoesRed provides a deadline tracking and reminder platform designed exclusively for owner-operated bookkeeping and accounting practices.
1. Nature of the Service and B2B Scope
GoesRed is a business-to-business (B2B) administrative software platform. It is not a consumer service, and it is not a client portal. Your clients do not receive accounts, logins, or direct access to the platform.
The service allows you to upload client rosters, assign statutory tracked deadlines (such as IRS Form 941, state sales tax filings across supported jurisdictions, and federal or state quarterly estimated taxes), schedule automated transactional notification emails to your clients ahead of tracked deadlines, and receive weekly Monday digest text messages summarizing unresolved compliance items across your roster.
These Terms govern standard commercial platform subscriptions. Participation in pre-release evaluation, testing programs, or unreleased feature pilots is governed exclusively by our Beta Tester Agreement.
Electronic Assent, Underwriting Audit Stamping, and Ongoing Reaffirmation: By completing payment, checking an acceptance box, using Express Checkout, or accessing the service, you provide your legal electronic signature and express assent to these Terms. To satisfy insurance underwriting (Tech E&O / Cyber compliance) and non-repudiation requirements, GoesRed programmatically records immutable proof of legal assent upon initial checkout—including your account user ID, verified email, IP address, user-agent string, exact timestamp, and the SHA-256 cryptographic hashes of these Terms and our Privacy Policy (recorded in legal_acceptances and checkout_sessions). Furthermore, each subsequent sign-in or session authentication (whether via magic link token consumption or Google OAuth) constitutes an ongoing electronic reaffirmation of the then-current Terms of Service and Privacy Policy, similarly recorded with IP address, timestamp, and cryptographic policy hashes in immutable system audit tables.
2. Professional Disclaimer and Non-Filing Status
GoesRed does not provide tax, legal, financial, or accounting advice. GoesRed is not a tax return preparer, an electronic return transmitter, a reporting agent, or a fiduciary. The platform does not transmit returns or payments to the Internal Revenue Service (IRS), state departments of revenue, electronic federal tax payment systems (EFTPS), state WebFile systems, or any local taxing authority.
You remain exclusively responsible for verifying the accuracy of all filing due dates, jurisdictions, and filing frequencies. Calculating tax liabilities, preparing returns, confirming client eligibility, verifying timely filings, and paying statutory taxes remain the sole professional obligation of you and your clients.
The action labeled Mark Handled on the platform is an internal administrative notation for your convenience, recording that you verified completion outside the service. It removes the item from your active weekly board for that cycle. It does not constitute a filing receipt, government confirmation, electronic timestamp, or proof of statutory compliance.
3. Pricing, Invoicing, and Subscription Lifecycle
Subscription Fees: Platform access requires an active base membership subscription of $49 per month. Active deadline tracking is metered at $4 per month per active client. An active client is defined as a roster entry with a valid email address, no administrative hold, and at least one active tracked deadline. Multiple tracked deadlines associated with the same client (such as Form 941, state sales tax, and estimated taxes) are billed as a single $4 unit. Untracked clients maintained on your roster are billed at $0.
Payment Processing and Proration: Payments are processed securely via Stripe. Subscription fees are billed monthly in advance. Metered client additions are calculated and prorated when you save changes to your roster. You may manage payment methods, view invoices, or cancel your subscription at any time through the Stripe Customer Portal accessible within your account settings.
Cancellation and Inactive Status: If your subscription is canceled, lapses, or enters a past-due status, platform functionality reverts to read-only access. In an inactive or canceled state, outbound client reminder emails (including T-10, T-3, and T-0 transmissions) and Monday digest text messages to you halt immediately. Cancellation takes effect at the conclusion of your current prepaid billing cycle, and prepaid subscription fees are non-refundable except as specified under our 30-day money-back guarantee or the Red Delivery Guarantee.
4. Red Delivery Guarantee and Sole Financial Remedy
Red Delivery Guarantee. Client Reminder Guarantee: If Red fails to send a scheduled 10-day deadline email resulting in a client tax penalty, your next 12 months are free. This Week’s List Guarantee: If Red fails to send your weekly Monday text digest, your next month is free. Account credits only. Red does not file returns or reimburse tax penalties, interest, or legal fees. Excludes carrier/infrastructure downtime, user-entered data errors, or bounced, unsubscribed, or ignored emails.
Strict Prerequisites and Express Exclusions: Eligibility for any guarantee credit is strictly conditioned upon Customer’s full compliance with all platform setup requirements. The Red Delivery Guarantee is void, inapplicable, and expressly disclaimed under any of the following circumstances:
- (a) Transmission & Server Proof: GoesRed’s internal mail server logs (Postmark API delivery events) indicate that the outbound email payload was successfully generated and dispatched to the recipient's mail transfer agent (MTA);
- (b) Recipient Filtering & Engagement: The reminder email was delivered but unopened, ignored, soft-bounced, hard-bounced, marked as spam, or filtered by domain security, client inbox rules, or third-party email providers;
- (c) Roster & Status Conditions: The tracked client was placed on administrative hold, marked inactive, deleted, or possessed an invalid, misspelled, or unsubscribed email address at the time of scheduled dispatch;
- (d) Account & Mobile Verification: Customer had not completed two-way mobile number verification via one-time passcode (OTP), account authentication, or maintained a past-due account status;
- (e) Telecommunications Network Factors: Text messages (including weekly Monday compliance summaries) failed or were delayed due to mobile carrier network outages, device power failure, local signal degradation, carrier spam filtering, or Customer issuing a STOP command;
- (f) Data Integrity & Calendar Variations: Inaccurate, outdated, or unverified filing cadences, custom due dates, or jurisdiction settings were selected on Customer’s roster, or statutory deadlines shifted due to emergency administrative orders, disaster declarations, or local weather extensions not reflected in standard statutory calendars;
- (g) Local Device Actions: Client text drafts generated on Customer’s mobile device via the standard
sms:protocol were not manually reviewed, edited, or dispatched by Customer; or - (h) Operational & Preparation Delays: The failure to timely file or pay was caused in whole or in part by tax return preparation delays, bookkeeping work-in-progress, missing client records, missing signatures, client insolvency, banking/EFTPS payment gateway failures, or client inaction.
Evidentiary Burden and Claim Procedure: To submit a claim, Customer must provide written notice to support@goesred.com within thirty (30) calendar days of the official statutory tax penalty assessment notice. Claims must include: (i) an unredacted copy of the official tax authority penalty assessment notice showing the exact filing date and penalty breakdown; and (ii) proof that all client records were fully completed and ready for submission prior to the statutory deadline. GoesRed’s system logs shall serve as the sole, final, and conclusive authority in determining whether a server transmission failure occurred.
Exclusive Remedy: Subscription fee credits constitute your sole and exclusive remedy, and GoesRed’s sole and entire liability, for any missed reminder, transmission delay, platform outage, or calendar error. GoesRed does not pay cash, does not issue cash refunds under the guarantee, and does not reimburse or indemnify any tax, penalty, interest, legal fees, or regulatory fine assessed by any government agency.
5. Prohibited Data and Customer Covenants
Zero-Tolerance Data Restrictions: You represent, warrant, and covenant that you shall not upload, input, transmit, or store on or through GoesRed any:
- Social Security Numbers (SSNs) or Individual Taxpayer Identification Numbers (ITINs);
- Employer Identification Numbers (EINs) or federal/state taxpayer identification numbers;
- Bank account numbers, routing numbers, credit card numbers, or financial account credentials;
- Completed tax returns, IRS forms, W-2s, 1099s, or payroll wage records; or
- Protected health information or sensitive personal data under applicable privacy laws.
Files, spreadsheets, or roster imports containing prohibited data identifiers or numbers matching tax identification formats will be programmatically rejected by our intake systems. GoesRed reserves the right to immediately purge any prohibited data identified on the platform without liability.
Authority and Consents: You represent and warrant that you possess all necessary rights, consents, and business authorizations under applicable law to provide your clients’ business names, email addresses, and optional phone numbers to GoesRed for the purpose of receiving transactional compliance communications.
Content Standards and Acceptable Use: You represent, warrant, and covenant that you shall not input, upload, or transmit any firm name, client contact name, or message content that is defamatory, libelous, unlawful, obscene, harassing, or that infringes, misappropriates, or violates any third party’s copyright, trademark, trade secret, privacy, or publicity rights.
Takedown and Removal Procedure: GoesRed maintains a formal content review, moderation, and takedown procedure to address controversial, offensive, infringing, or potentially defamatory content. GoesRed reserves the right, in its sole discretion, to review, edit, suspend, or permanently remove any firm name, client record, or content that violates these content standards or is the subject of a third-party intellectual property or legal complaint, without prior notice or liability. If you or any third party believe that any content or record distributed or hosted through GoesRed infringes your intellectual property rights or contains defamatory material, please submit a written notice to our designated agent at: support@goesred.com (Subject: Content Takedown Notice). Notices must include your contact information, identification of the contested material, and proof of rights or statutory basis. GoesRed commits to investigating verified complaints within forty-eight (48) business hours and executing appropriate remedial takedowns or suspensions.
6. Communications and TCPA Compliance
Client Email Communications: GoesRed transmits automated transactional emails to your tracked clients at designated intervals (ten days before, three days before, and the day of a statutory deadline). Emails reflect your firm name and direct all client replies to your designated business email address. Each client email provides an immediate completion mechanism and an unsubscribe option. An unsubscribed or hard-bounced address immediately places that client on hold and halts subsequent automated mailings.
No Automated Client Texting: GoesRed never initiates, transmits, or automates SMS or text messages to your clients. A client phone number stored on your roster is utilized exclusively to pre-populate a local device draft link (using the standard sms: protocol) within your mobile device’s native messaging application. You retain sole and absolute discretion over whether to send, edit, or discard any client message from your personal or firm device. GoesRed is not a sender, carrier, or transmitter of such messages.
Text Messages to You: By providing and verifying your mobile phone number, you consent to receive recurring weekly Monday morning compliance digest text messages and on-demand security verification codes (OTP) from GOESRED INC via our dedicated 10DLC telecommunications infrastructure. Consent is not a condition of purchasing platform access. Message and data rates may apply. You may reply STOP at any time to discontinue Monday digests, HELP for customer assistance, or START to resume.
7. Third-Party Integrations and Processors
QuickBooks Online Accountant (QBOA): If you choose to connect your Intuit QuickBooks Online Accountant account, you authorize GoesRed to read client contact names and email addresses solely to populate your roster. GoesRed does not access, inspect, or store individual client company general ledgers, bank transactions, invoices, payroll filings, or tax returns. You may revoke this access at any time through your Intuit account settings. Intuit services are governed solely by Intuit’s independent terms and privacy policies.
Infrastructure Processors: GoesRed utilizes SOC-2 and PCI-compliant third-party infrastructure providers to deliver the service, including Stripe (payments), Postmark (transactional email), Telnyx (telecommunications), Supabase (database hosting), Cloudflare (security and bot detection), and Meta Platforms (first-party seat acquisition measurement only, as described in our Privacy Policy). GoesRed is not liable for third-party network interruptions, telecommunications carrier delays, or external internet outages beyond our reasonable control.
8. Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN THE RED DELIVERY GUARANTEE, THE GOESRED PLATFORM AND ALL ASSOCIATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, GOESRED INC DISCLAIMS ALL WARRANTIES, STATUTORY, EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
9. Limitation of Liability and Statutory Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOESRED INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS REPUTATION, OPPORTUNITY, OR DATA, OR ANY STATUTORY TAX PENALTIES, REGULATORY FINES, OR INTEREST CHARGES LEVIED AGAINST YOU OR YOUR CLIENTS, EVEN IF GOESRED INC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
UNDER NO CIRCUMSTANCES SHALL THE AGGREGATE CUMULATIVE LIABILITY OF GOESRED INC ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, UNDER ANY LEGAL OR EQUITABLE THEORY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EXCEED THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO GOESRED INC FOR THE PLATFORM SEAT IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED FORTY-NINE DOLLARS ($149.00), WHICHEVER IS GREATER.
To the fullest extent permitted by applicable law, Customer expressly waives California Civil Code Section 1542 (and any similar statutory or common law rule of any other jurisdiction), which provides:
“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
10. Indemnification
You agree to defend, indemnify, and hold harmless GOESRED INC, its officers, directors, employees, affiliates, and agents from and against any third-party claims, liabilities, damages, losses, demands, regulatory penalties, and expenses (including reasonable legal and accounting fees) arising out of or in connection with: (a) your breach of these Terms; (b) any tax filing, preparation, calculation, advice, or omission concerning your clients; (c) any message or communication sent by you or from your mobile device to your clients; (d) your upload or transmission of prohibited data; (e) your failure to secure necessary client consents; (f) any claim, dispute, or malpractice action asserted by your clients or taxing authorities against GoesRed arising out of or related to your client engagements; or (g) any defamatory, infringing, or unlawful content, firm name, or client record submitted by you or through your account.
11. Dispute Resolution, Binding Arbitration, and Class Action Waiver
These Terms and any dispute arising out of or related to the platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Any arbitration shall be legally seated in Los Angeles County, California and conducted virtually via videoconference. If an in-person hearing is ordered by the arbitrator for good cause, such hearing shall take place exclusively in Los Angeles County, California. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Class Action and Jury Waiver: ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. YOU AND GOESRED INC HEREBY WAIVE ANY RIGHT TO A TRIAL BY JURY.
Equitable and Injunctive Relief Without Bond: Customer acknowledges that any actual or threatened breach of Section 5 (Prohibited Data), unauthorized scraping, reverse engineering, or infringement of GoesRed intellectual property rights will cause irreparable injury for which monetary damages alone would be inadequate. Accordingly, GOESRED INC shall be entitled to seek immediate preliminary and permanent injunctive relief and specific performance in any court of competent jurisdiction without the requirement of posting a bond, cash surety, or proving actual financial damages, in addition to all other remedies available at law or in equity.
12. No Third-Party Beneficiaries
These Terms are entered into solely for the benefit of Customer and GOESRED INC. Nothing herein, express or implied, is intended to or shall confer upon any third party (including Customer’s clients or taxing authorities) any legal or equitable right, benefit, or remedy.
